A fresh batch of SEC Form 4 filings is giving investors something to chew on. Disclosed insider trades — routine but closely watched — show executives and directors selling shares at three notable companies, even as some of the stocks trade near their highs.
At Nutanix, director Teresa Sheppard sold 3,500 shares on October 9 at an average price of $73.67, a transaction worth roughly $257,845 that trimmed her direct holdings by nearly 13 percent. The sale came with the stock near its 52-week high and follows sizable selling by other company insiders, including CEO Rajiv Ramaswami.
At Analog Devices, insider Vivek Jain has been an active seller: 2,000 shares on October 7 for about $819,580, plus another 3,305 shares on October 8 for roughly $1.34 million — on top of earlier sales this month. The chipmaker recently posted strong quarterly results, with revenue up 39 percent year over year, but the repeated insider selling stands out. And at EverQuote, CTO David Brainard and other executives have sold shares in October, part of a stretch that has seen 24 insider sales and no reported insider purchases over six months.
Insider selling is not, by itself, a sell signal — executives sell for many reasons, from tax planning to diversification, and many sales occur under prearranged 10b5-1 plans. But persistent one-sided selling, with no insider buying to balance it, is a pattern investors watch closely.
